Terms of Service

1. Acceptance of Terms

By accessing or using the website at symbiont.legal (the "Service"), operated by Symbiont Legal ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Symbiont Legal provides:

  • Contract templates: Downloadable, editable legal document templates designed for human-AI business partnerships, sold individually or as a bundle.
  • Formulation Wizard: A client-side tool that helps users generate a structured brief for filling in their purchased template. No data is transmitted to our servers.
  • Attorney marketplace: A directory of independent, licensed attorneys who offer contract review services. Symbiont Legal facilitates the connection but is not a party to the attorney-client relationship.

3. Not Legal Advice

Important: The templates, tools, and content provided through the Service are for informational and educational purposes only. They do not constitute legal advice, and no attorney-client relationship is formed between you and Symbiont Legal by purchasing or using our products.

We strongly recommend that you have all contracts reviewed by a qualified attorney licensed in your jurisdiction before execution. Laws vary by jurisdiction, and a template cannot account for every legal nuance.

4. Purchases and License

4.1 License grant

Upon purchase, we grant you a non-exclusive, non-transferable, revocable license to use the purchased template(s) for your own business or personal legal needs. This license permits:

  • Editing and customizing the template for your specific agreements
  • Using the template across multiple agreements within your own business entity
  • Sharing the completed (filled-in) contract with counterparties and attorneys for review

4.2 Restrictions

You may NOT:

  • Resell, redistribute, sublicense, or publicly share the template files (in original or modified form)
  • Claim authorship of the templates or remove Symbiont Legal attribution
  • Use the templates to create a competing template or legal document product
  • Share your download link or files with parties who have not purchased a license

4.3 Bundle purchasers

Bundle purchases include all current templates plus future templates and updates released during the lifetime of the product. This does not include premium add-ons, attorney review services, or any third-party services.

5. Refund Policy

Because our products are digital goods delivered electronically:

  • Before download/access: You may request a full refund within 48 hours of purchase if you have not yet accessed or downloaded the template files.
  • After download: Once template files have been accessed or downloaded, all sales are final.

6. Attorney Marketplace

The attorney directory on the Service connects users with independent, licensed attorneys. Important terms:

  • Symbiont Legal is a marketplace platform, not a law firm. We do not provide legal representation or advice.
  • Any attorney-client relationship is formed directly between you and the attorney you engage, subject to that attorney's own terms of engagement.
  • We do not guarantee the quality, accuracy, or outcome of any attorney's work product.
  • Attorneys on the platform are independent professionals. We verify bar membership at registration but do not conduct ongoing compliance monitoring.
  • Payment for attorney review services is processed through Stripe Connect. Symbiont Legal facilitates the transaction but is not responsible for disputes between you and the attorney.

7. Intellectual Property

All content on the Service — including but not limited to template documents, clause libraries, annotation guides, website design, logos, and code — is the intellectual property of Symbiont Legal and is protected by copyright and other intellectual property laws.

The purchase of a template grants you a license to use it as described in Section 4. It does not transfer ownership of the intellectual property to you.

8. User Conduct

When using the Service, you agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Submit false or misleading information in any form on the Service
  • Impersonate any person or entity, including attorneys or legal professionals
  • Scrape, data mine, or otherwise extract data from the Service through automated means

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service and all templates are provided "as is" and "as available" without warranties of any kind, express or implied.
  • Symbiont Legal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service or templates.
  • Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for any legal, financial, or business outcomes resulting from the use of our templates, even if customized by an attorney from our marketplace.

10. Indemnification

You agree to indemnify and hold harmless Symbiont Legal, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any contracts you create using our templates.

11. Termination

We may terminate or suspend your access to the Service at any time, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Upon termination, your license to use any purchased templates remains valid (subject to the restrictions in Section 4), but your access to the Service, updates, and marketplace features may be revoked.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Delaware in accordance with the rules of the American Arbitration Association.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

For material changes, we will make reasonable efforts to notify active users (e.g., via email to purchasers on file).

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
